Plain-language summary
You keep your content. We process it to route and answer requests, sometimes through third-party model providers. AI output and savings figures require verification. Keep credentials secure, use the product lawfully, and do not submit highly sensitive data without an appropriate written agreement. The full terms below control over this summary.
Agreement and eligibility
These Terms of Service (the Terms) govern access to MainStreet AI's websites, applications, APIs, model-routing services, chat, Projects, Observer, and related services (collectively, the Service). “MainStreet AI,” “we,” and “us” mean the legal operator identified in the completed launch details. “You” means the person accepting these Terms and, when that person acts for an organization, that organization.
By creating an account, accessing an authenticated feature, using an API key, or otherwise using the Service, you agree to these Terms. You must be at least 18 years old and legally able to enter this agreement. If you use the Service for an organization, you represent that you have authority to bind it.
What the Service does
MainStreet AI analyzes a request and selects a model-and-inference-effort combination intended to meet a requested quality, cost, speed, or policy objective. The Service may submit the request to a configured AI provider, return the result, and record routing, usage, quality, latency, and estimated-cost information.
The Service may also provide conversations, reusable Project context, file-text extraction, usage and savings views, an OpenAI-compatible API, and Observer telemetry for customer-managed model deployments. Features may differ by account, environment, access agreement, or release stage.
AI results require judgment
Accounts, workspaces, and API keys
You must provide accurate account information, keep credentials and API keys confidential, and promptly revoke or report credentials you believe are compromised. You are responsible for activity performed through your account, workspace, or API keys to the extent permitted by law.
Workspace administrators may manage membership, access, content, and configuration for their organization. If an organization provides your access, its administrator may control the account and related data. You must not share an account in a way that defeats access controls or usage limits.
Customer Content
Customer Content includes prompts, messages, Project context, goals and guardrails, uploaded-file text, API inputs, feedback, and other material you submit. As between you and MainStreet AI, you retain your rights in Customer Content. You grant us a limited, worldwide license to host, reproduce, transmit, process, and display it as needed to provide, secure, support, and improve the Service and comply with law.
You represent that you have the rights and permissions needed to submit Customer Content and authorize its processing. Do not submit credentials, secrets, regulated health or financial data, export-controlled material, or other highly sensitive information unless a written agreement expressly permits it and the Service is configured for that use.
MainStreet AI does not use Customer Content to train its own general-purpose generative foundation model. We may use service data, feedback, and minimized or aggregated performance signals to operate and improve routing, reliability, safety, and cost estimation. Any materially broader use of Customer Content for model training or human-labeled evaluation requires separate notice or agreement.
Third-party AI providers
To answer a request, the Service may send Customer Content and request settings to the model provider selected by the router. Current approved production routes use direct provider APIs, including OpenAI and Anthropic. Available providers and models may change as models, prices, policies, and service conditions change.
Provider processing is also subject to the terms and data controls applicable to MainStreet AI's provider account—or to your account when you control the credentials. We do not control provider output, availability, or policy changes. See our Privacy Policy for how data moves through the Service.
Acceptable use
You may not use the Service to:
- violate law, sanctions, export controls, intellectual-property rights, privacy rights, or contractual duties;
- create malware, facilitate unauthorized access, or probe systems without permission;
- generate or facilitate fraud, abuse, harassment, exploitation, or unlawful discrimination;
- bypass rate limits, safety measures, access restrictions, spending controls, or provider policies;
- resell, sublicense, scrape, or reverse engineer the Service except where permitted in writing or by law;
- use outputs as the sole basis for decisions affecting legal rights, essential services, employment, credit, housing, insurance, education, or medical treatment; or
- represent AI-generated material as verified fact where doing so would be deceptive or harmful.
You must also comply with the usage policies of the model provider serving a request.
Savings and performance estimates
Savings, token reduction, cost comparisons, quality scores, and reference or frontier comparisons shown by the Service are operational estimates—not invoices, audited financial results, guarantees, or investment advice. They may be based on provider list prices, observed token usage, a counterfactual reference model, sampled evaluations, and assumptions recorded with the result.
Actual charges and performance depend on provider pricing, caching, discounts, taxes, request shape, model updates, retries, and your provider agreement. Validate material savings and quality claims against your billing records and production evaluation set.
Observer and customer-managed deployments
Observer is designed to receive aggregate measurements such as request counts, failures, token totals, inference effort, estimated cost, unpriced-request counts, and latency percentiles, plus structured optimization findings and their supporting arithmetic. Under the current design, prompts, completions, provider keys, request identifiers, exact request timestamps, and raw provider error strings remain in the customer's environment and are not included in Observer telemetry.
You remain responsible for the security, credentials, configuration, availability, costs, and legal use of customer-managed infrastructure. Provisioning scripts and recommendations are tools, not a managed- infrastructure warranty, unless a separate order says otherwise.
Fees and access terms
Access may be free, invited, evaluated, or subject to a pilot. If we offer paid access, the applicable order, checkout page, or access agreement will state fees, billing period, usage allowance, taxes, renewal terms, and cancellation rules. Those commercial terms control if they conflict with this section.
Unless a written order says otherwise, provider, cloud, and third-party charges incurred through credentials or infrastructure you control are your responsibility. We may enforce documented usage or spend caps and pause requests when a cap is reached.
Service and output rights
MainStreet AI and its licensors own the Service, software, interface, documentation, routing methods, branding, and related intellectual property. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service during your authorized access.
To the extent permitted by law and provider terms, MainStreet AI assigns to you any rights it may have in model output generated specifically for you. AI output may not be unique or eligible for intellectual-property protection. You are responsible for checking whether your intended use infringes another party's rights.
If you provide suggestions or product feedback, you allow us to use it without restriction or compensation, provided we do not publicly identify you as its source without permission.
Confidentiality and security
Each party will use reasonable care to protect non-public information disclosed by the other and use it only to perform or receive the Service. This does not apply to information that is public through no breach, already known without restriction, independently developed, or lawfully received from another source.
We maintain safeguards designed for the Service, but no system is completely secure. You must use the Service in a manner appropriate to your data's sensitivity and notify us promptly of suspected unauthorized access.
Changes, previews, and availability
We may change models, routing logic, features, limits, or the Service as the product and provider market evolve. We will not materially reduce committed functionality during a paid term except for security, legal, provider, or reliability reasons, or as allowed by an order.
Beta, preview, evaluation, and experimental features may change or stop at any time and may be less reliable. Unless a signed agreement provides a service level, the Service has no uptime or support SLA.
Suspension and termination
You may stop using the Service at any time. You may delete conversations and Projects from the interface and revoke API keys; account closure and privacy requests may require contacting us. Product deletion may first remove data from the active interface and may not immediately remove security records or backups.
We may suspend or terminate access if you materially breach these Terms, create a security or legal risk, fail to pay an undisputed amount, exceed an agreed limit, or if continued service becomes impracticable due to a provider or legal requirement. Where reasonable, we will provide notice and an opportunity to cure.
Disclaimers
To the maximum extent permitted by law, the Service and AI outputs are provided “as is” and “as available.” MainStreet AI disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted or error-free operation. We do not warrant that a selected model is the cheapest possible model, that it will meet every quality threshold, or that estimated savings will be realized. Nothing in these Terms excludes a warranty that cannot lawfully be excluded.
Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, arising from the Service, even if advised that such damages were possible.
MainStreet AI's total liability arising out of or relating to the Service will not exceed the amounts you paid MainStreet AI during the 12 months before the event giving rise to liability, or US $100 if you paid nothing. These limits do not apply where prohibited by law and do not limit liability that cannot lawfully be limited.
General terms
The completed launch version must identify the governing law and courts for disputes. If you have a signed agreement with MainStreet AI, that agreement controls to the extent of a conflict. You may not assign these Terms without our consent, except with a merger or sale of substantially all assets; we may assign them as part of a reorganization or transfer of the Service.
Neither party is liable for delay caused by events beyond reasonable control. If a provision is unenforceable, the remaining provisions stay in effect. These Terms, the Privacy Policy, any applicable order, and referenced policies are the complete agreement concerning the Service.
We may update these Terms. We will post the revised version and update the date; if a change is material, we will provide additional notice where required. Continued use after the effective date constitutes acceptance to the extent permitted by law.
